How to record dividends in Xero (UK)
A UK how-to for recording a limited company dividend in Xero: the paperwork first, a dividends equity account (Xero has no default code), Spend money per shareholder, reconciling the bank line, director's loan journals and attaching the voucher.

This guide explains how UK limited companies typically record dividends in Xero. It is general information, not tax, legal or accounting advice. Account choices and timing depend on your company's facts, so confirm them with your accountant. Run your books in QuickBooks Online? Read how to record dividends in QuickBooks Online instead.
The short answer
To record a dividend in Xero, minute the board's decision and issue a voucher to each shareholder first. Add an Equity account for dividends, because Xero's default UK chart has none. Then record a Spend money transaction per shareholder from the bank, coded to that account. Attach the voucher and match the transaction to the bank statement line.
The dividend never reaches the profit and loss account. The equity coding takes it straight out of the company's reserves, which is where a dividend belongs.
Before you record anything: the paperwork
The Xero entry comes after the decision: check there are profits available, hold and minute the board meeting (the board minutes template covers the layout) and issue a voucher to each shareholder, as how to pay dividends as a limited company sets out step by step. Then give the Xero transaction the payment date shown in the minutes and on the voucher, because HMRC treats a dividend as paid when it becomes "due and payable", which for an interim dividend is when it is actually paid (CTM15205), and that date decides the tax year.
Set up a dividends account in Xero
Why equity, not an expense
In Xero, an account's type decides which report it lands on. An Equity account sits on the balance sheet, so a dividend coded to one never touches the profit and loss report. That is the treatment FRS 102, the main UK accounting standard, requires: "An entity shall reduce equity for the amount of distributions to its owners" (paragraph 22.17, FRC: FRS 102). Coded to an expense account, the dividend would make Xero's profit and loss report understate profit, and the deduction that implies isn't available: "You cannot count dividends as business costs when you work out your Corporation Tax" (GOV.UK), and the legislation allows no deduction for a dividend (Corporation Tax Act 2009, s.1305).
Which Xero dividend code?
There isn't one by default: Xero's default UK chart of accounts has no dividends account. Two accounts people reach for are wrong:
- 960 Retained Earnings is a system account that Xero manages for you (Xero Central: locked and system accounts). Dividends reduce retained earnings in the year-end accounts, but they should be posted to their own account so the year's total is visible.
- Share capital records the shares the company has issued. A dividend doesn't change it.
Add the account
- Open the chart of accounts (in the Accounting menu; the exact path depends on your Xero navigation) and select Add Account.
- Set the account type to Equity.
- Choose a code. Pick an unused code in your equity range. If your accountant uses a standard code across clients, use theirs.
- Name it Dividends paid.
- If you set a default tax rate, choose the no-VAT option. A dividend is not a purchase, so there is no VAT to reclaim on it.
- Save.
Record a dividend paid from the bank: Spend money
Record one Spend money transaction per shareholder, so that each payment, contact and voucher match one to one (Xero Central: create a spend money transaction).
- Open the bank account the dividend was paid from (through Bank accounts in the Accounting menu, or the bank account's menu on the homepage) and choose Spend money.
- Contact: the shareholder. Pick their existing Xero contact or add one.
- Date: the payment date in the minutes and on the voucher.
- Reference: the voucher number, so the transaction and the paperwork point at each other.
- Account: Dividends paid. Tax rate: the no-VAT option. Enter this shareholder's amount.
- Attach the voucher (see below), then Save.
You can also create the transaction from the bank statement line while reconciling. Xero fills some fields from the statement line, and you complete the rest the same way.
Does Xero pay the dividend?
No. A Spend money transaction records a payment you made from the bank. The money moves when you pay the shareholder from your bank account.
Reconciling the dividend in Xero
When the bank statement line imports, reconcile it against the Spend money transaction you recorded. If Xero suggests the match, check the amount, date and contact, then confirm it. If it doesn't, use Find & match to search for the transaction (Xero Central: find transactions to match). Find & match also lets you match one statement line to several transactions, for example if you paid two shareholders in a single transfer.
Don't create a new transaction from the statement line if you've already recorded the payment. That puts the dividend in the books twice.
Paying each shareholder separately keeps it simple: one bank line, one transaction, one voucher.
Dividends credited to a director's loan account: a manual journal
Not every dividend leaves the bank. Some are credited to the director's loan account (DLA) and drawn later, or set against an overdrawn balance, and in Xero that is a manual journal rather than Spend money. GOV.UK says the record of "any money you borrow from or pay into the company" is "usually known as a 'director's loan account'" (GOV.UK: director's loans).
Record it with a manual journal (Xero Central: add, import and post manual journals):
- Open Manual journals from the Accounting menu and start a new journal, dated on the day the credit is made.
- Line 1: debit Dividends paid with the shareholder's dividend.
- Line 2: credit that director's loan account with the same amount.
- Put the voucher number in the narration, then post the journal.
Xero's UK guide on director's loans suggests separate liability accounts for amounts owed by the director and amounts owed to the director (Xero: director's loan account). Your accountant will have a preference.
Why the journal won't reconcile
No money moves, so no bank statement line arrives to match. Xero also won't let you post a manual journal to a bank account at all (Xero Central: manually adjust a bank account balance). That is expected. The journal sits between two balance sheet accounts and never touches the bank.
The bank only appears when the director draws the money. Record that withdrawal as Spend money coded to their loan account, not to Dividends paid, and reconcile it like any other payment. Coding it to Dividends paid counts the dividend twice.
Date the journal carefully. With no bank line behind it, the journal's date is the only date Xero holds for the dividend, and it can decide the tax year. A credit to a loan account the shareholder "has power to draw" on counts as payment: HMRC's manual says a dividend is paid when the shareholder receives the money or it is "unreservedly placed at the shareholder's disposal" (CTM15205). Check the date with your accountant before you post the journal.
Declared now, paid later
Interim dividends, decided by the directors, "may be varied or rescinded at any time before payment" (CTM15205), so most companies record them on the payment date. A final dividend declared by the shareholders under the model articles (art. 30) is different: HMRC says the declaration creates a debt owing to the shareholder (CTM15205).
If a final dividend is owed but not yet paid, a manual journal on the declaration date debits Dividends paid and credits a Dividends payable current liability account. On the payment date, the Spend money transaction is coded to Dividends payable, which clears the liability. Your accountant decides whether a liability belongs in the year-end accounts.
Attach the voucher and minutes
Keep the evidence on the transaction it explains. Xero lets you attach files to transactions (Xero Central: attach a file to a transaction). Open the Spend money transaction and attach the shareholder's voucher and the board minutes, plus the declaration or resolution if you have one.
For a manual journal, attach the files if the journal offers the option. If it doesn't, keep the documents with the company records and put the voucher number in the narration.
Can Xero produce dividend vouchers?
Not in the standard Xero a company uses. Xero has a dividend voucher report among its tools for accounting practices. On its Product Ideas forum in April 2026, Xero said there "aren't any confirmed plans to bring that specific Dividend Voucher experience into blue Xero", meaning the standard edition. A director keeping their own books needs another route: a voucher template, the free generator, or an app. Can Xero produce dividend vouchers? covers who can see the report and the options.
What Dividendly posts to Xero
Dividendly drafts the paperwork for each shareholder: the voucher, board minutes, and a declaration (interim) or shareholder resolution (final). It runs an e-signature acknowledgement step and emails each shareholder their documents. When the company is connected to Xero, an upcoming run also posts one SPEND transaction per shareholder (Spend money, in Xero's menus) to the bank account and dividend account you chose. It attaches the PDFs to that transaction. It doesn't move money or reconcile your bank feed. Paying the shareholder and matching the bank line stay with you.
- Shareholders map to Xero contacts. Check the mapping before the first run, because a wrong contact gives a correct voucher against the wrong payee.
- Your financial year is read from Xero, and the connection uses a rolling token.
- Sign in with Xero is available, or use a magic link.
- Back-fill reads past SPEND transactions on your dividend account and drafts vouchers for the ones you choose. Historical vouchers (from Xero or QuickBooks) are included on Growth, Accountant and Enterprise. Manual journals aren't read, so for a DLA credit, use a manual voucher and post the journal yourself.
- Deleting a voucher. Only a voucher from an upcoming run has a transaction Dividendly posted. Deleting it voids that transaction in Xero. Back-filled or manual vouchers have no posted transaction, so deleting them changes nothing in Xero.
- No editing. A generated voucher can't be edited. To correct one, delete it and issue a new one.
The integration is optional on every plan at no extra cost, and a company connects to one provider at a time. The Xero integration guide covers setup. Accountants running dividends across several clients can use the accountants' guide to client dividends in Xero. On QuickBooks instead? The same process is posted as a Purchase, and the differences are set out in QuickBooks vs Xero for dividends.
Common mistakes
- Coding the dividend to an expense account, or to Retained Earnings or share capital.
- Running dividends through payroll. A dividend isn't salary, and processing it as pay creates PAYE and National Insurance entries it shouldn't have. Talk to your accountant if this has already happened.
- One transaction for several shareholders. Each shareholder gets a voucher, so each should get a transaction.
- A second transaction from the statement line instead of matching the one you recorded.
- Counting a dividend twice, by coding a later DLA withdrawal or a dividends-payable settlement to Dividends paid.
- Dates that disagree. The minutes, voucher and transaction should carry the same payment date.
FAQ
What account code should I use for dividends in Xero?
Any unused code in your equity range, on an account with the Equity type, named something like Dividends paid. Xero's default UK chart has no dividends account. Ask your accountant whether they use a standard code.
How do I reconcile dividends in Xero?
Record each payment as Spend money coded to your dividends account. When the bank statement line arrives, match it to that transaction, using Find & match if Xero doesn't suggest it.
Should I use Spend money or a manual journal?
Use Spend money when the dividend is paid from the bank, so it reconciles to the statement line. Use a manual journal only when no money moves, such as a credit to a director's loan account.
What VAT rate should a dividend use?
The no-VAT option. A dividend is not a purchase of goods or services, so there is no VAT to reclaim.
How do I record a dividend credited to my director's loan account?
With a manual journal: debit Dividends paid, credit your director's loan account, dated on the day of the credit. See the section above.
What happens in Xero if I delete a voucher in Dividendly?
If the voucher came from an upcoming run, the SPEND transaction Dividendly posted is voided. A back-filled or manual voucher has no posted transaction, so Xero is unchanged.
I paid dividends but never recorded or documented them. What now?
Issue the paperwork now with honest dates rather than backdating it, then recode any past payments sitting in other accounts to your dividends account. Catching up on missing dividend vouchers covers the evidence to gather and the clean-up in Xero. If the year is locked or its accounts are filed, ask your accountant before you change anything in it.
